Terms of service

1. Agreement

By using https://shopcrew.io or engaging us for services, you agree to these terms. If you don't agree, please don't use the site or our services.

2. Services

Service-specific scope, deliverables, timelines, and fees are defined in a written Statement of Work (SOW) we sign with you. These terms govern everything not addressed in the SOW.

3. Fees and payment

Fees are stated in the SOW. Unless agreed otherwise, invoices are due within 14 days. Late amounts accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.

4. Intellectual property

On full payment, you own the deliverables we produce specifically for you (prompts, integrations, eval datasets). We retain ownership of the underlying tools, frameworks, and know-how we bring to the engagement.

5. Confidentiality

Each party agrees to keep the other's non-public information confidential and to use it only to perform the services or evaluate them.

6. Warranties & disclaimers

We provide the site and services on an "as is" basis, without warranties of any kind to the extent permitted by law. AI-generated outputs may be inaccurate; you remain responsible for reviewing them before customer-facing use.

7. Limitation of liability

To the maximum extent permitted by law, our aggregate liability under these terms is limited to the fees you paid us in the 12 months before the claim.

8. Governing law

These terms are governed by the laws of the jurisdiction where ShopCrew is established, without regard to conflict-of-law rules. Disputes are resolved in the courts of that jurisdiction.
